Accessing a job in the United States is not an easy task, we will have to have a work visa and normally, we receive it through a job offer from a North American company. However, there are other options if our focus is focused on the USA, it is about setting up your own business in the United States, and for this, and there are possible visas for entrepreneurs.
The first thing you should do to register a company in USA is choosing a name and verify that it has not been taken into the records of corporations in any State of USA. If this is the case, you must choose another name. Decide the legal structure that will influence the way you organize and how you will conduct your business, indicate that you are going to assume responsibilities within it and remember that you will have to pay taxes.
To make it easier we explain it step by step.
Choose a name for your LLC
Your LLC’s (Limited Liability Company or simply US version of Private Limited Company) name must comply with your state’s division rules. Although the requirements vary from state to state, they generally:
- The name cannot be the same as the name of another LLC registered in the LLC office
- The name must end with the acronym LLC, such as “Limited Liability Company” or the abbreviation of this phrase (such as “LLC”, “LLC” or “Co. Liability Ltd.”)
- The name cannot include certain words prohibited by the state, such as Bank, Insurance, Corporation or City (the prohibited words differ by state).
Your state’s LLC office can tell you how to know if your proposed name is available for use. Often, for a small fee, you can reserve the name of your LLC for a short period of time until you file the organization’s bylaws.
In addition to complying with your state’s LLC naming rules, you must ensure that your name will not violate another company’s trademark.
Once you have found a legal and available name for your incorporate company in Delaware, you generally don’t need to register it in your state. When you present the articles of the organization, the name of your company will be automatically registered.
Complete the formal paperwork
After choosing the name, you must prepare and file the “Articles of Organization” with your state registry office. Although most states use the term “article of organization” to refer to the basic document required to create an LLC, some states call it a “certificate of formation” or “certificate of organization.”
Post a notice of intent
In some states, you need to go one step further to make your business official: You must publish a simple notice in a local newspaper, stating that you intend to form an LLC. You are required to post the ad multiple times over a period of time and then file an “affidavit of posting” with the LLC registry office. Your local newspaper should be able to help you with this publication.
Get licenses and permits
Once you have completed the steps outlined above, your LLC is official. But before opening the doors of the business, you need to obtain the licenses and permits that all new companies must have to operate. These may include a business license (sometimes also known as a “registration tax certificate”) and a company tax identification number (EIN), among others.
